Terms of use

What you can expect from Balans, what we expect from you, and who carries what when money moves. Written to be read, not survived.

This is a working draft. Balans has not opened yet. These words describe how we intend to run the service, and a Nigerian lawyer is reviewing them before launch. Nothing here binds you until you accept the final version in the chat. Questions in the meantime: hello@balans.ng.

1Who we are

Balans is a product of MOTX Studios, registered in Nigeria at Lagos, Nigeria. In these terms, “Balans”, “we” and “us” mean MOTX Studios. “You” means the person or business using Balans to bill clients. “Your client” means whoever you send a quote, invoice or payment request to.

Balans is moving to a new operating company, Balans Technologies Ltd, before public launch. When that happens this agreement moves with it on the same terms, and we will tell you in the chat and by email before it takes effect.

You accept these terms when you finish setup in the WhatsApp chat. We record which version you accepted and when. This page is version 2026-09-draft-1, last updated 21 September 2026.

2What Balans does, and what it is not

Balans turns a message into a document. You describe a job in the chat, we produce a branded quote, invoice or payment request as a PDF, and we give you a link your client can pay on. When your client pays, we tell you in the chat.

Balans is not a bank, a lender or a payment processor. We are not licensed to hold money and we do not hold yours. Every payment is processed and split by Monnify at the moment it is made: your share goes to the bank account you registered, and our fee comes out in the same step. Your money is never in a Balans balance, wallet or float, and there is no point at which we could withhold it.

Balans is not a party to the contract between you and your client. We do not check whether the work was done, whether the price is right, or whether either of you kept your side of the deal. Balans gives no legal, tax or accounting advice. A document can carry a VAT line and your TIN if you add them, but what you owe and what you file is between you and the tax authorities.

3Your account

Your account is your WhatsApp number. You must be 18 or older, be entitled to bill for the work you invoice, and use a number and a bank account that genuinely belong to you or your business. One number is one account.

What you tell us at setup has to be true:

  • Your business name, as your clients would recognise it
  • A bank account in your name or your business name, which we confirm with your bank before anything is created
  • An email address you control, which we verify with a code

Keep your WhatsApp number and your email secure. Anyone holding your phone can send messages as you. If you lose your phone or your line is ported, email hello@balans.ng straight away. We can move your account to a new number through your verified email, after a 24-hour hold and a security alert to both channels.

Changing your bank account

You can change your settlement account from the chat. It needs a code sent to your verified email, we confirm the new account name with the bank, we alert you on WhatsApp and by email, and the change takes effect for payments started 24 hours later. Until then payments still settle to your old account. That delay protects you if someone takes over your number, and we cannot waive it.

4Your documents and your clients

You are responsible for everything on the documents you send: the amounts, the dates, the description of the work, any VAT, and the work itself. We show you every draft before it goes anywhere, and sending it is your decision.

Balans reads your messages to work out what you mean, but it never does the arithmetic. Every amount, fee and total is computed by our own code and shown to you before anything is sent, and nothing is ever marked paid except by a verified payment event from Monnify. If a draft is wrong, correct it in the chat before you confirm it.

When you give us your client’s name or email address, you are asking us to handle their details on your behalf. You must have the right to give them to us and to send them documents. Do not use Balans for unsolicited marketing. The privacy notice explains what we do with your clients’ details and what falls to you.

A payment link stays valid until the document is paid or you cancel it. You can cancel a document that has no successful payment against it. Once a payment has gone through, the money question is between you and your client.

5How you get paid

Your client opens the link and pays on Monnify’s checkout by card, bank transfer or USSD. They do not need an account or an app, and their card details never reach us.

Monnify splits the payment as it is made. Your share settles to your registered bank account on Monnify’s normal settlement cycle, usually the next business day. That timing is Monnify’s, not ours. Weekends, public holidays, bank downtime or a review on Monnify’s side can move it. We cannot speed it up and we do not promise a settlement date.

If you asked for a deposit or milestones, only the next part is payable at any one time, and each part settles the same way. A part payment reduces what is outstanding on the document.

Monnify’s own terms apply to the payment itself. By using Balans you agree that we may create and manage a Monnify sub-account for you and give Monnify the details it needs to run and settle your payments.

6What Balans costs

Balans is free to start. On Free you get 5 documents a calendar month and pay 1% when an invoice is paid, with a minimum of ₦100 and a ceiling of ₦1,000 however large the job. Pro costs ₦4,000 a month, has no document limit, and the fee drops to 0.5%, minimum ₦50, ceiling ₦500.

Our fee comes out of the Monnify split at the moment your client pays. There is no invoice from us and no card on file. If nobody pays, you owe us nothing.

Monnify charges its own fee on top of ours. You can absorb it or pass it to your client, and the chat shows you both numbers before you send. When you pass it on, the client’s total is grossed up so that you receive the invoice amount less only our fee.

Pro is paid either by a Monnify payment link or by deduction from your next paid invoice, whichever you choose, and renews monthly until you cancel. Cancelling stops the next renewal. We do not refund part of a month you have already started, and you keep Pro until the end of it.

Prices, percentages, minimums and ceilings can change. We will give you at least 30 days’ notice in the chat and by email before a change that costs you more, and the new rate applies only to documents created after it takes effect.

7Refunds, chargebacks and disputes

Refunds are yours to give. Balans does not hold your money, so we cannot refund a client for you. Arrange it with your client directly or through Monnify.

You carry the chargebacks on your invoices. If a client reverses a payment, the amount, and any fee Monnify charges for the reversal, comes out of your side. Where a reversal leaves us out of pocket on a fee already paid to us, we may recover it from your next settlement or invoice you for it.

A dispute pauses new documents on your account while we look at it. Invoices you have already sent can still be paid. We may ask you for the contract, the brief, proof of delivery or messages with your client, and we may pass what you give us to Monnify or to the card scheme.

8What you may not bill for

Balans is for services and work you deliver. It is not for moving money, raising money or lending it. You may not use Balans, directly or through anyone else, for:

  • Investments, funds, forex, crypto trading, “doubling” or anything offering a return
  • Loans, lending, debt collection for third parties, or money transfer for its own sake
  • Gambling, betting, lotteries and games of chance
  • Adult services and sexual content
  • Any regulated activity you are not licensed for, including financial, medical and legal services
  • Weapons, ammunition, illegal drugs, prescription medicines and controlled substances
  • Counterfeit goods, stolen property, and anything that infringes someone else’s rights
  • Pyramid and multi-level schemes, or recruiting people into one
  • Anything unlawful in Nigeria, or in the country your client is paying from

You also may not impersonate another business, invoice for work you have not agreed to do, send documents to people who did not ask for them, fabricate invoices, or spread a job across accounts to get round our limits.

We screen document descriptions for these categories. A match holds the document for review rather than blocking it outright, and a person looks at it.

9Limits and checks

Limits keep the service safe for everyone on it. Each one is a value we can adjust, including for you individually.

  • Invoices start at ₦1,000 and carry up to 20 line items
  • New accounts have a lower ceiling per invoice and per day, which lifts as you build a record of paid invoices
  • Unusual volume — many documents in an hour, or many new clients in a day on a young account — pauses the account and alerts us
  • If the account name your bank returns shares nothing with your business name, we flag it for a look. We do not block you for it

When a check stops something, the chat says what happened and what to do next. If you think a check has caught you wrongly, email hello@balans.ng and a person will review it.

10Pausing and closing accounts

We may pause your account if you break these terms, if the law or Monnify or Meta requires it, or if we see credible signs of fraud. A paused account cannot create new documents, but invoices you have already sent can still be paid and still settle to you. We close an account outright only for fraud or where the law requires it.

Wherever we can, we tell you what happened and how to put it right. If you disagree, email hello@balans.ng. A person reads it.

Closing your own account

You can close your account from the chat at any time. We ask you to confirm twice, cancel any documents with no payment against them, and deactivate your Monnify sub-account. We keep the financial records the law requires and anonymise the rest. The privacy notice sets out how long each kind of record stays.

11The service itself

Balans depends on WhatsApp, Monnify, a language model and an email provider. Any of them can be slow or unavailable, and when that happens parts of Balans stop working. We aim high on uptime, but we do not promise the service will always be available or uninterrupted.

When something is down we degrade rather than disappear. If the model is unavailable, the direct commands still work and the chat says document creation is briefly unavailable. If Monnify is unavailable, documents are still created and the Pay button asks your client to try again.

We change and improve Balans continuously, and we may add, alter or withdraw features. If we withdraw something you rely on, we will tell you first.

12Who is responsible for what

Balans is provided as it is. Beyond what is written here, and so far as Nigerian law allows, we give no warranties — in particular none that the service will be uninterrupted, error-free, or fit for a particular purpose of yours.

We are not responsible for:

  • Whether your client pays you, pays late, or disputes a payment
  • The work behind an invoice, or any disagreement between you and your client about it
  • Settlement timing, which is Monnify’s, or an outage at Monnify, Meta or your bank
  • What you put on a document, including amounts, VAT and tax treatment
  • Losses caused by someone using your WhatsApp number or email without your knowledge

Where we are liable to you, our total liability for all claims in any twelve-month period is capped at the fees you paid us in that period, or ₦4,000 if that is greater. We are not liable for indirect losses, lost profit, lost business or lost goodwill.

Nothing here limits liability that cannot be limited under Nigerian law, including for fraud or for death or personal injury caused by negligence.

If someone brings a claim against us because of what you billed for, what you put on a document, or your dealings with a client, you will cover the reasonable cost of dealing with it.

13Your content and our brand

Your documents, your logo and your client list stay yours. You give us only the permission we need to run the service: to store your content, render it into PDFs and emails, and show it to the client you sent it to. We do not sell it, publish it, or use it to train a language model.

When you upload a logo you confirm you have the right to use it. We check the image by its contents, strip its metadata and re-encode it before it goes into a document.

The Balans name, logo, wordmark, document designs and this website are ours. On Free, documents carry a small “Made with Balans” line; on Pro they carry your branding alone. Do not use our name or logo in a way that suggests we endorse you, and do not copy the service.

14Changes to these terms

We will update these terms as Balans grows. For a change that materially affects you, we will tell you in the chat and by email at least 30 days before it takes effect, and ask you to accept the new version. For corrections and clarifications, we update the page and move the date at the top.

Every version has a number, and we record which one you accepted. If you do not accept a new version you can close your account before it takes effect, and your open invoices stay payable until they are settled or cancelled.

15Law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State, Nigeria have jurisdiction over any dispute.

Before going to court, please email hello@balans.ng and give us 30 days to sort it out. Most things are a misunderstanding and get fixed in a day.

You may not transfer your rights under these terms to anyone else. We may transfer ours to the company that takes over the Balans business, on the same terms.

If any part of these terms turns out to be unenforceable, the rest still stands, and not enforcing something straight away does not give up the right to enforce it later. These terms and the privacy notice are the whole agreement between us about Balans.
